Job Description:

Education:

  • JD from an accredited university
  • Membership with at least one state bar

Work Experiences:

  • At least 10 years of corporate law experience with a major law firm and/or in-house legal department
  • In-house legal department experience at a retailer with at least $1 billion in revenue, preferred
  • Significant experience with matters relating to corporate governance, private equity, strategic transactions, securities, compensation and equity awards, finance and credit agreements, accounting and financial reporting, internal controls, capital markets, tax, and regulatory reporting
  • Working with board of directors, board committees, and executive leadership
  • Providing sound advice to senior management
  • Managing teams and law firms
  • Managing multiple enterprise projects and meeting deadlines

Skills:

  • Strong legal background with corporate matters, especially with corporate governance, private equity, securities, financing, strategic transactions, accounting, and financial reporting
  • Deep knowledge of securities law, Delaware law and corporate governance
  • Ability to negotiate, write, and explain wide range of contracts
  • Capable of interacting with, and establishing the respect and confidence of, senior business leaders
  • Ability to influence and provide timely and effective legal and business advice and support at all organizational levels
  • Strong leadership ability and conflict resolution skills
  • Energetic and focused personality
  • Demonstrated ability to take manage a high volume of matters at any given time, work well under pressure, successfully handle and prioritize multiple competing assignments, and effectively manage deadlines

Responsibilities:

  • Manage all corporate governance matters, including board and committee meetings, parent and subsidiary management, corporate records, and related compliance
  • Advise on finance, credit, securities, accounting, and financial reporting and disclosure related matters
  • Support administration of equity incentive plans with stock options, RSUs and restricted stock awards
  • Advise on and assist with strategic corporate transactions
  • Support Legal Department with other legal matters, including commercial contracts and compliance
  • Support various departments, including Accounting, Finance, Tax, Treasury, Internal Audit, and Compensation
  • Support and work closely with General Counsel & Secretary
  • Support and provide sound advice to Board of Directors, Board Committees, and executive leadership
  • Keep company updated and advised on external corporate governance trends, general legal issues and best practices
  • Develop standardized forms and procedures for assigned area
  • Participate in the definition and development of policies, procedures and programs, and provide continuing counsel and guidance on implications of all legal matters
  • Handle various regulatory reporting responsibilities
  • Hire and manage outside legal counsel
  • Manage and develop legal staff, including paralegals
  • Oversee financial budget for assigned area
  • Required to learn company policies, procedures and safety rules
  • Duties may change; Team Member may be required to perform other duties as assigned
